Terms and Conditions for Consulting Services These Terms and Conditions ("Terms") govern your use of production services ("Services") provided by J Booker Production ("Company"). By using our Services, you agree to these Terms. 1. Scope of Services 1.1 The Company provides production services as outlined in a written agreement or proposal ("Agreement"). 1.2 Additional services beyond the agreed scope may incur extra fees and require a new agreement. 2. Client Responsibilities 2.1 The Client agrees to provide accurate and timely information necessary for the Services. 2.2 Active participation, including attending meetings and responding to inquiries, is essential for successful outcomes. 3. Fees and Payments 3.1 Fees and payment terms are defined in the Agreement. 3.2 Late payments may incur additional charges. 3.3 Taxes, if applicable, are the Client’s responsibility. 4. Confidentiality 4.1 Both parties agree to protect each other’s confidential information. 4.2 The Company is not liable for unauthorized access outside its control. 5. Intellectual Property 5.1 The Company retains ownership of tools and methodologies used during the engagement. 5.2 Deliverables are for the Client’s internal use unless otherwise agreed. 6. Warranties and Liability 6.1 Services are provided on a "best efforts" basis, with no guarantees of specific outcomes. 6.2 The Company is not liable for indirect or consequential damages. Total liability is limited to fees paid for the specific Service. 7. Termination 7.1 Either party may terminate with a 14-day written notice. 7.2 The Client must pay for all Services provided up to the termination date. 8. Governing Law and Dispute Resolution 8.1 These Terms are governed by the laws of Texas. 8.2 Disputes will be resolved through arbitration. 9. Updates to Terms 9.1 The Company reserves the right to update these Terms, with changes effective upon posting. By engaging our Services, you agree to these Terms.
